1. Introduction and Parties

1.1 These Premium Services Terms and Conditions ("Premium Terms") govern the provision of professional legal services by iLegal Solutions Legal Consultancy LLC ("Service Provider", "we", "us", or "our"), a legal consultancy licensed and regulated under RAKDAO, RAK UAE, to users of the iLegalWorks platform operated by MindAI Technologies Limited ("Platform Operator").

1.2 The Service Provider is an affiliate of the Platform Operator and provides Premium Services on a per-document request basis through the iLegalWorks platform at www.ilegalworks.com.

1.3 These Premium Terms are supplemental to and must be read in conjunction with the general Terms and Conditions of MindAI Technologies Limited available on the Platform.

1.4 IMPORTANT: By requesting Premium Services, you acknowledge that you are entering into a separate contractual relationship with iLegal Solutions Legal Consultancy LLC, which is legally distinct from MindAI Technologies Limited.

2. Definitions

In addition to the definitions in the Platform Terms and Conditions, the following definitions apply:

  • "Alternative Service Provider" means any Affiliate, Channel Partner, or third-party legal professional engaged by us to provide all or part of the Premium Services.
  • "Client" or "you" means the individual or entity requesting Premium Services.
  • "Deliverables" means the documents, reports, opinions, or other work product provided as part of the Premium Services.
  • "Engagement Letter" means the specific written agreement for each Premium Services request, setting out scope, fees, and timelines.
  • "Premium Services" means professional legal services including but not limited to: legal document review and drafting, contract negotiation support, legal opinions, regulatory compliance advice, and other professional legal consultancy services.
  • "Service Request" means a formal request for Premium Services submitted through the Platform or by email.

3. Scope of Premium Services

3.1 Services Offered

Premium Services are provided on a per-document or per-request basis and may include:

  • Professional legal review and analysis of documents on no name basis
  • Drafting, revision, and finalisation of legal documents on no name basis
  • Legal opinions and memoranda on specific legal questions generated by AzzamAI

3.2 Engagement Process

Each Premium Service engagement shall be governed by these terms and conditions; once the Agree button is pressed and the one-time fee is paid, you unconditionally approve the Engagement Process and these Terms and Conditions.

3.3 No Ongoing Retainer

Premium Services are provided on a standalone, per-request basis. No solicitor-client, attorney-client, or ongoing advisory relationship is created between Service Requests.

4. Use of Alternative Service Providers

4.1 Right to Engage Alternatives

You acknowledge and agree that the Service Provider may, in its sole discretion, engage Alternative Service Providers to provide all or part of the Premium Services. Such engagement may be made without prior notice to you where we reasonably determine it is necessary for: ensuring timely delivery; providing jurisdiction-specific expertise; managing capacity and workload; or accessing specialised legal knowledge.

4.2 Quality Standards

We shall use reasonable efforts to ensure that any Alternative Service Provider maintains appropriate professional qualifications and standards. However, you acknowledge that quality assurance standards may differ from our own.

4.3 Client Notification

Where practicable, we will notify you if a material portion of the Premium Services will be delivered by an Alternative Service Provider.

4.4 Direct Engagement

In some cases, you may be required to enter into a direct engagement with an Alternative Service Provider for regulatory, licensing, or practical reasons.

5. Fees and Payment

5.1 Fee Structure

Fees for Premium Services are charged on a per-document or per-request basis as specified in the applicable pop up box when clicking on the relevant Premium Services button. Fees vary dependent on the requested Premium Service and should be visible prior to engagement.

5.2 Payment Terms

  • Payment is due in advance upon accepting the terms and conditions by pressing the Premium Service acceptance button.
  • All fees are quoted exclusive of applicable taxes (including VAT), which will be added where required.
  • Payment shall be made by the method specified through the payment service provider, without any liability on us.

5.3 Refund Policy for Premium Services

Once work has commenced on a Service Request, fees are generally non-refundable. Partial refunds may be considered in our sole discretion where we are unable to deliver the agreed Deliverables due to circumstances within our control.

6. Limitation of Liability

6.1 General Limitation

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE PROVIDER'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR IN CONNECTION WITH ANY PREMIUM SERVICES ENGAGEMENT SHALL NOT EXCEED THE FEES ACTUALLY PAID BY YOU FOR THAT SPECIFIC ENGAGEMENT.

6.2 Exclusion of Consequential Damages

IN NO EVENT SHALL THE SERVICE PROVIDER BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • Loss of profits, revenue, or business opportunities
  • Loss of contracts or anticipated savings
  • Loss of data or corruption of data
  • Loss of goodwill or reputation
  • Any other indirect or consequential loss

6.3 Alternative Service Provider Liability

IMPORTANT LIMITATION: You expressly acknowledge and agree that:

  • The Service Provider shall not be liable for any acts, omissions, errors, or negligence of any Alternative Service Provider.
  • Each Alternative Service Provider is an independent legal entity responsible for its own professional conduct and liability.
  • Where services are provided by an Alternative Service Provider, your recourse for any claims shall be directly against that Alternative Service Provider.
  • The Service Provider makes no representations or warranties regarding the professional indemnity insurance coverage of any Alternative Service Provider.
  • You waive any right to claim against the Service Provider for losses arising from services provided by Alternative Service Providers.

6.4 Channel Partner Limitation

Where you have accessed Premium Services through a Channel Partner or reseller: the Service Provider shall not be liable for any representations, warranties, or commitments made by the Channel Partner that exceed the scope of these Premium Terms.

6.5 Professional Indemnity

The Service Provider maintains professional indemnity insurance appropriate for its legal consultancy practice. Details of coverage limits are available upon written request.

6.6 Time Limitation

Any claim against the Service Provider arising out of or in connection with Premium Services must be brought within seven (7) days from the date the relevant Deliverables were provided.

6.7 Exceptions

Nothing in these Premium Terms shall exclude or limit liability for: death or personal injury caused by negligence; fraud or fraudulent misrepresentation; or any other liability that cannot be excluded under applicable law.

7. Confidentiality and Professional Privilege

7.1 We shall maintain the confidentiality of all information provided by you in connection with Premium Services, subject to applicable professional conduct rules and any legal obligations to disclose.

7.2 Legal professional privilege (attorney-client privilege) may apply to certain communications between you and the Service Provider. You should not assume that all communications are privileged.

7.3 Where Alternative Service Providers are engaged, we will take reasonable steps to ensure they are bound by appropriate confidentiality obligations.

8. Intellectual Property

8.1 Upon full payment of applicable fees, you shall own all intellectual property rights in bespoke Deliverables created specifically for you.

8.2 We retain all intellectual property rights in our pre-existing materials, templates, methodologies, and know-how, and you are granted a non-exclusive licence to use such materials solely as incorporated into your Deliverables.

9. Important Disclaimers

9.1 Premium Services constitute legal information and advice based on the specific facts and documents provided by you. The accuracy and completeness of our work depends on the accuracy and completeness of the information you provide.

9.2 Our advice is given based on the law as it stands at the time of delivery. Laws and regulations may change, and you should seek updated advice before relying on previous Deliverables for new transactions or decisions.

9.3 Where Alternative Service Providers deliver services under different regulatory regimes, the applicable professional conduct rules and client protections may differ.

10. Governing Law and Dispute Resolution

10.1 These Premium Terms shall be governed by and construed in accordance with the laws of RAKDAO, RAK, UAE.

10.2 Any dispute arising out of or in connection with these Premium Terms shall be resolved in accordance with UAE law and exclusively with the courts of the Emirate of Dubai.

By requesting Premium Services, you confirm that you have read, understood, and agree to be bound by these Premium Services Terms and Conditions, including the limitations of liability regarding Alternative Service Providers and Channel Partners.
