1. Definitions and Interpretation

1.1 Definitions

In these Terms and Conditions, unless the context otherwise requires:

"Affiliate" means any entity that directly or indirectly controls, is controlled by, or is under common control with the Company, including but not limited to iLegal Solutions Legal Consultancy LLC.
"Agreement" means these Terms and Conditions together with any applicable Service Orders, policies, and schedules.
"Channel Partner" means any third-party reseller, distributor, or referral partner authorised by the Company to market or resell the Services.
"Company", "we", "us", or "our" means MindAI Technologies Limited.
"Content" means any data, documents, text, images, or other materials uploaded, submitted, or generated through the Services.
"Platform" means the iLegalWorks software platform accessible at www.ilegalworks.com
"Premium Services" means the professional legal services provided by iLegal Solutions Legal Consultancy LLC on a per-document request basis, subject to separate Premium Services Terms.
"Services" means the legal technology services, tools, and features provided through the Platform.
"Subscription" means the paid access to the Services under a monthly or annual plan.
"Trial Period" means any free trial period offered by the Company.
"User", "you", or "your" means the individual or entity accessing or using the Services.

2. Acceptance of Terms

2.1 By accessing or using the Platform or Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions. If you do not agree to these Terms, you must not access or use the Services.

2.2 If you are accessing the Services on behalf of a company, organisation, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms.

2.3 We reserve the right to modify these Terms at any time. Material changes will be notified to you via email or through the Platform. Continued use of the Services after such notification constitutes acceptance of the modified Terms.

3. Eligibility and Registration

3.1 You must be at least 18 years old and have the legal capacity to enter into binding contracts to use our Services.

3.2 To access certain features of the Services, you must register for an account. You agree to provide accurate, current, and complete information during registration and to keep such information updated.

3.3 You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorised use of your account.

4. Description of Services

The Platform provides

4.1 The Platform provides legal technology tools and services, including but not limited to: AI-powered legal document analysis and generation, legal research tools, contract review and comparison, document management, and access to legal templates and resources.

The Services do not constitute legal advice and are not a substitute for professional legal counsel. Premium Services

4.3 Premium Services, which include professional legal review and advice, are provided separately by our Affiliate, iLegal Solutions Legal Consultancy LLC, and are subject to separate Premium Services Terms and Conditions.

5. Subscriptions, Fees, and Payments

5.1 Subscription Plans

We offer various subscription plans as published on the Platform, including monthly and annual plans. The features, pricing, and terms of each plan are described on our pricing page and may be modified from time to time.

5.2 Trial Period

We may offer a free Trial Period for new users. During the Trial Period, you will have access to specified features of the Services. At the end of the Trial Period, you must subscribe to a paid plan to continue accessing the Services.

5.3 Payment Terms

Subscription fees are payable in advance on a monthly or annual basis, depending on your selected plan.
All fees are quoted exclusive of applicable taxes, which will be added to your invoice where required by law.
Payment is due upon invoice or, for recurring subscriptions, will be automatically charged to your designated payment method.
We accept payment by credit card, debit card, and other methods as specified on the Platform.

5.4 Automatic Renewal

Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date. You may cancel auto-renewal at any time through your account settings.

5.5 Price Changes

We may change our subscription fees from time to time. Any price increase will not apply until your next renewal period, and we will provide at least 30 days' notice of such changes.

6. Refund Policy

Trial Period

No payment is required during the Trial Period. Upon conversion to a paid subscription after the Trial Period ends, no refund will be issued for dissatisfaction with the Services.

Monthly Subscriptions

Monthly subscriptions are non-refundable. Once payment has been processed for a monthly subscription period, no refund will be issued regardless of usage or early cancellation. You may cancel your subscription at any time to prevent future charges, but no pro-rata refund will be provided for the current billing period.

Annual Subscriptions (Discounted)

Annual subscriptions paid in advance at a discounted rate are subject to the following refund conditions:

Minimum Usage Period: Refund requests may only be submitted after a minimum of six (6) months of active subscription.
Consumed Months Pricing: All consumed months will be recalculated and charged at the full monthly subscription rate.
Refund Calculation: The refund amount will be calculated based on the discounted annual rate for the remaining unconsumed months only.
Early Termination Penalty: An early termination penalty equivalent to two (2) months of the discounted monthly rate will be deducted from any refund amount.
Negative Balance: If the calculation results in a negative balance, no refund will be issued and no additional amount will be charged.

Refund Calculation Formula

Refund = Annual Fee Paid - (Consumed Months x Full Monthly Rate) - (Penalty x Discounted Monthly Rate)
Where Penalty = 2 months

Refund Example

If a User subscribes to an annual plan at USD 600/year (discounted from USD 100/month to USD 50/month) and requests a refund after 8 months: Consumed months at full rate: 8 x USD 100 = USD 800; Remaining months at discounted rate: 4 x USD 50 = USD 200; Penalty: 2 x USD 50 = USD 100; Calculation: USD 600 - USD 800 - USD 100 = -USD 300. In this example, no refund would be issued as the result is negative.

Refund Request Process

Refund requests must be submitted in writing to support@ilegalworks.com. Requests will be processed within 14 business days. Approved refunds will be credited to the original payment method within 30 business days.

7. User Content and Conduct

Your Content

You retain ownership of all Content you submit through the Services. By submitting Content, you grant us a limited, non-exclusive licence to process, store, and analyse such Content solely for the purpose of providing the Services to you.

Content Restrictions

You agree not to upload, submit, or transmit any Content that: violates any applicable law or regulation; infringes the intellectual property rights of any third party; contains malicious code, viruses, or harmful components; is defamatory, obscene, or otherwise objectionable; or violates the privacy rights of any third party.

Prohibited Conduct

You agree not to: access or use the Services for any unlawful purpose; attempt to gain unauthorised access to any part of the Services; interfere with or disrupt the Services or servers; use automated means to access the Services without our permission; reverse engineer or attempt to extract the source code of the Platform; resell, sublicence, or commercially exploit the Services without authorisation; or use the Services to develop competing products.

8. Intellectual Property Rights

8.1 The Platform, Services, and all associated intellectual property rights are and shall remain the exclusive property of the Company or its licensors.

8.2 Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Services for your internal business purposes during the term of your Subscription.

8.3 You may not copy, modify, distribute, sell, or lease any part of the Services or included software, nor may you reverse engineer or attempt to extract the source code of that software.

9. Limitation of Liability

9.1 THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY.

Limitation Of Damages

9.2 TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE COMPANY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES.

Liability Cap

9.3 THE COMPANY'S TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID BY YOU DURING THE ONE (1) MONTH IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

9.4 The limitations in this Section shall apply regardless of the form of action.

9.5 Nothing in these Terms shall exclude or limit liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded by applicable law.

10. Indemnification

You agree to indemnify, defend, and hold harmless the Company, its Affiliates, and their respective officers, directors, employees, agents, and licensors from and against any and all claims, damages, losses, liabilities, costs, and expenses arising out of or in connection with: your use of the Services; your breach of these Terms; your violation of any applicable law or regulation; your Content; or your infringement of any intellectual property or other rights of any third party.

11. Term and Termination

11.1 These Terms shall commence upon your acceptance and continue until terminated by either party.

11.2 You may terminate your account and these Terms at any time by cancelling your Subscription through your account settings or by contacting us at support@i-Legal.me.

11.3 We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason whatsoever, including if you breach these Terms.

11.4 Upon termination: your right to access and use the Services will cease immediately; any data or Content you have stored on the Platform may be deleted after 5 days; and all provisions that by their nature should survive termination shall survive.

12. Governing Law and Resolution

12.1 These Terms shall be governed by and construed in accordance with the laws of the Dubai International Financial Centre (DIFC).

12.2 Any dispute shall be referred to and finally resolved by arbitration under the DIAC Arbitration Rules.

12.3 The number of arbitrators shall be one. The seat of arbitration shall be Dubai. The language of the arbitration shall be English.
